Terms of Service

Welcome to VaultKey. These Terms of Service ("Terms") govern your use of VaultKey's password management services, including our website, applications, and API (collectively, the "Service"). By using VaultKey, you agree to these Terms.
1. Acceptance of Terms
By creating an account or using VaultKey, you agree to be bound by these Terms and our Privacy Policy. If you are using VaultKey on behalf of an organization, you represent that you have authority to bind that organization to these Terms.
2. Description of Service
VaultKey provides a password management service that allows you to:
- Store and organize passwords, secure notes, and other sensitive information
- Generate strong, unique passwords
- Sync your encrypted data across devices
- Share credentials securely with team members
- Monitor password security and receive breach alerts
3. Account Registration
3.1 Account Creation
To use VaultKey, you must create an account with a valid email address and strong master password. You are responsible for maintaining the confidentiality of your account credentials.
3.2 Master Password
Your master password is the encryption key for your vault. VaultKey cannot recover or reset your master password. If you lose your master password, you may permanently lose access to your vault data. We strongly recommend setting up account recovery options.
3.3 Account Security
You are responsible for all activities that occur under your account. You must immediately notify us of any unauthorized use or security breach.
4. Acceptable Use
You agree not to:
- Use VaultKey for any illegal purpose or in violation of any laws
- Store illegal content or content that infringes others' rights
- Attempt to gain unauthorized access to our systems or other users' accounts
- Interfere with or disrupt the Service
- Reverse engineer, decompile, or disassemble any part of the Service
- Use automated means to access the Service without our permission
- Share your account credentials with unauthorized users
5. Subscription and Payment
5.1 Free and Paid Plans
VaultKey offers both free and paid subscription plans. Paid plans provide additional features and capabilities as described on our pricing page.
5.2 Billing
Paid subscriptions are billed in advance on a monthly or annual basis. All fees are non-refundable except as expressly set forth in these Terms or required by law.
5.3 Price Changes
We may change subscription prices with 30 days' notice. Price changes will apply to the next billing cycle after the notice period.
5.4 Cancellation
You may cancel your subscription at any time. Upon cancellation, you will retain access to paid features until the end of your current billing period.
6. Data and Privacy
6.1 Your Data
You retain all rights to your data. By using VaultKey, you grant us a limited license to store and process your encrypted data solely to provide the Service.
6.2 Encryption
Your vault data is encrypted using your master password before being transmitted to our servers. We cannot access your unencrypted data.
6.3 Data Portability
You may export your data at any time using our export feature. We support standard export formats for interoperability.
7. Intellectual Property
VaultKey and its original content, features, and functionality are owned by VaultKey Inc. and protected by international copyright, trademark, and other intellectual property laws. Our name, logo, and product names are our trademarks.
8. Disclaimer of Warranties
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR COMPLETELY SECURE. YOU USE THE SERVICE AT YOUR OWN RISK.
9. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, VAULTKEY SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF DATA, PROFITS, OR GOODWILL, ARISING FROM YOUR USE OF THE SERVICE.
OUR TOTAL LIABILITY FOR ALL CLAIMS RELATED TO THE SERVICE SHALL NOT EXCEED THE AMOUNT PAID BY YOU FOR THE SERVICE IN THE TWELVE MONTHS PRECEDING THE CLAIM.
10. Indemnification
You agree to indemnify and hold harmless VaultKey and its officers, directors, employees, and agents from any claims, damages, losses, or expenses arising from your use of the Service or violation of these Terms.
11. Modifications to Service and Terms
We reserve the right to modify or discontinue the Service at any time. We may update these Terms from time to time. Material changes will be communicated via email or through the Service. Continued use after changes constitutes acceptance.
12. Termination
We may suspend or terminate your account if you violate these Terms or engage in conduct that we determine is harmful to VaultKey, other users, or third parties. Upon termination, your right to use the Service ceases immediately.
13. Governing Law
These Terms are governed by the laws of the State of California, without regard to conflict of law principles. Any disputes shall be resolved in the courts of San Francisco County, California.
14. Dispute Resolution
Before filing a lawsuit, you agree to attempt to resolve disputes informally by contacting us. If informal resolution fails, disputes will be resolved through binding arbitration under the rules of the American Arbitration Association.
15. General Provisions
- Entire Agreement: These Terms constitute the entire agreement between you and VaultKey.
- Severability: If any provision is found unenforceable, the remaining provisions remain in effect.
- Waiver: Our failure to enforce any right does not waive that right.
- Assignment: You may not assign these Terms without our consent.
